1. ACCEPTANCE OF TERMS
By accessing or using the Planet 9 website, mobile app, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users, including parents, guardians, and educators. Children may not independently create an account or use the Services without verified parental consent. This aligns with our commitment to creating a safe and secure online environment for learners.
2. MODIFICATION OF TERMS
Planet 9 reserves the right to update or modify these Terms at any time. If we make any material changes that impact your legal rights, we will provide advance notice through the Services or by email. Continued use of the Services following any update constitutes your acceptance of the revised Terms. We encourage users to periodically review these Terms.
If we make any changes that materially change the ways in which we use or disclose the information previously collected from you through the Services, we will give you the opportunity to consent to such changes before applying them to that information.
3. DESCRIPTION OF SERVICES
Planet 9 is an educational technology platform designed to support foundational life skills development in children ages 5–10 through gamified digital learning. Our Services include mobile applications, websites, and a parent-facing web portal that provides tools, progress insights, and curated educational content to reinforce a child's growth both in-game and at home.
The Services include:
- A mobile app offering structured, game-based experiences designed to teach social-emotional, cognitive, and organizational skills.
- A secure parent portal with personalized learning updates, downloadable resources, and subscription-based enhancements.
- Learning tools, goal-setting features, and behavioral progress dashboards.
Planet 9 is not a school or tutoring service and is not a substitute for classroom instruction or clinical mental health support. The content provided through Planet 9 is for educational and informational purposes only and should not be interpreted as legal, financial, therapeutic, or medical advice.
4. ELIGIBILITY AND ACCOUNT REGISTRATION
To use the Services, you must be a parent, legal guardian, or authorized educator and at least 18 years of age. By registering, you represent and warrant that you meet this requirement and agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
If you are the Parent or legal guardian of a child who wishes to use the Services, you may register as a Parent User. Through your account, you may create and manage accounts for your child(ren) or for children for whom you are the legal guardian. By registering, approving, or providing consent for a Child User, you represent that you are such child's Parent or legal guardian and agree to be bound by these Terms on behalf of that Child User.
5. USER OBLIGATIONS AND COMPLIANCE WITH U.S. LAWS
As a condition of using the Services, you agree not to:
- Use the Services for any unlawful or unauthorized purpose
- Violate any applicable law or regulation
- Upload or transmit viruses or any malicious code
- Attempt to gain unauthorized access to other accounts or systems
- Use automated tools or bots to access the Services
- Interfere with the integrity or performance of the Services
If you are using our Services for school or institutional purposes in the United States, you agree, individually and on behalf of your institution, to comply with all applicable U.S. privacy laws, including The Family Educational Rights and Privacy Act (FERPA), The Children's Online Privacy Protection Act (COPPA), and any other federal, state, or local laws related to the collection, use, or disclosure of children's personal data.
6. USER CONTENT AND INTELLECTUAL PROPERTY RIGHTS
The Services and all materials therein, including but not limited to the Planet 9 platform, curriculum content, code, software, graphics, text, and branding ("Proprietary Materials"), are owned or licensed by Planet 9 and are protected under United States and international copyright, trademark, and intellectual property laws.
Planet 9 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for personal, non-commercial use or for use by your minor child or children for whom you are the legal guardian or educator, subject to your full compliance with these Terms.
Users are not permitted to upload or share content on the platform. Any optional communications, feedback, or suggestions you voluntarily provide shall be deemed "User Content." By submitting User Content, you grant Planet 9 a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, and distribute such content for internal business, improvement, and promotional purposes.
7. RESTRICTIONS ON USE
In connection with your access to or use of the Services, you agree not to:
- Use the Services for any purpose that is unlawful or prohibited by these Terms
- Access or use the Services in a manner that could damage, disable, overburden, or impair any Planet 9 server or networks connected to any Planet 9 server
- Attempt to gain unauthorized access to any part of the Services, user accounts, or systems through hacking, password mining, or any other means
- Use automated scripts or bots to collect information or interact with the Services without prior written authorization
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services
- Upload, post, or transmit any material that contains viruses or other harmful code
- Misrepresent your identity or affiliation with any person or entity
- Violate any applicable local, state, national, or international law
8. PAYMENT TERMS AND SUBSCRIPTIONS
Some features of the Services may be offered on a paid subscription basis through the Planet 9 website only. The mobile app will not offer payments of any kind.
By subscribing, you agree to pay the applicable fees as displayed at the time of purchase. All payments are due in U.S. dollars and will be processed through a third-party provider (e.g., Stripe or another authorized vendor). Users will be referred to the third-party processor's privacy policy to understand how their data is used in connection with payment processing.
Subscriptions may renew automatically at the end of each billing cycle unless canceled before the renewal date. Planet 9 does not allow minors to initiate purchases. All payments must be authorized and submitted by the verified Parent or Guardian account holder.
9. LICENSE AND ACCESS RIGHTS
Subject to your compliance with these Terms, Planet 9 grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for the sole purpose of supporting your child's or student's educational development through the platform.
This license does not include any resale or commercial use of the Services or its contents, any collection or use of product listings or descriptions, or any derivative use of the Services. Any unauthorized use terminates the license granted by Planet 9.
10. TERMINATION AND SUSPENSION
Planet 9 reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in conduct that may harm users (especially children), or present a legal risk to the company.
You may terminate your account at any time by contacting us or using the account deletion tool in your parent portal. Upon termination, your right to use the Services will cease, and all associated data will be deleted in accordance with our data retention policies.
11. THIRD-PARTY SERVICES AND CONTENT
The Services may include integrations or functionality provided by third-party vendors, including but not limited to payment processors (e.g., Stripe), analytics tools (e.g., Google Analytics, Amplitude), hosting providers, and content platforms ("Third-Party Services"). These Third-Party Services are made available or accessed in connection with the Services but are not controlled by Planet 9.
You acknowledge that separate terms of use and privacy policies may apply to your use of such Third-Party Services. We encourage you to review them carefully, as Planet 9 is not responsible for the availability, accuracy, legality, or practices of these third parties.
12. DISCLAIMERS AND LIMITATIONS OF LIABILITY
The Services are provided for educational and informational purposes only and are not intended to replace professional advice, therapy, medical consultation, or formal schooling. Planet 9 makes no representations or warranties regarding any learning outcomes, behavioral changes, or improvements based on the use of the Services.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Planet 9 makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree that Planet 9 shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to lost profits, data loss, or personal injury arising out of or in connection with your use of the Services.
13. INDEMNITY
You agree to indemnify, defend, and hold harmless Planet 9 and its officers, directors, employees, contractors, and licensors from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Services or activities conducted under your account, including any misuse by your child user
- Your breach of these Terms or applicable law
- Your violation of the rights of any third party, including intellectual property, data privacy, or contract rights
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), and judgment on the arbitration award may be entered in any court having jurisdiction.
You and Planet 9 each waive the right to a jury trial and to participate in class actions.
15. CHANGES TO THE SERVICES
Planet 9 reserves the right to update, modify, or discontinue any part of the Services or these Terms at any time, for any reason, with or without notice. If we make material changes to these Terms that impact your legal rights, we will notify you through the website, by email, or via in-app notifications.
If you do not agree to the modified Terms, you must stop using the Services. Continued use after changes become effective constitutes your acceptance of the revised Terms.
16. PRIVACY AND DATA PROTECTION
Your access to and use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information, including data related to parents and child users.
By accessing or using the Services, you acknowledge that you have read and understood our Privacy Policy and agree to its terms. We respect the privacy of all users, particularly children, and are committed to complying with applicable privacy laws to safeguard personal information.
17. CHILDREN'S DATA AND PARENTAL CONSENT
The Services are intended to be used by parents, guardians, and educators to support children ages 5–10 in building life skills. Children may not independently create accounts or submit personal information through the Services.
Access to the Services by child users must be initiated and managed by a verified parent or legal guardian. Verifiable parental consent is required prior to the collection of any child's personal information.
Parents may view, delete, or restrict their child's data at any time by accessing their dashboard or contacting support.

20. ENTIRE AGREEMENT AND SEVERABILITY
These Terms, along with our Privacy Policy and any other legal notices or supplemental terms referenced herein, constitute the entire agreement between you and Planet 9 regarding your use of the Services.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
21. ASSIGNMENT
You may not assign, delegate, or transfer your rights or obligations under these Terms without Planet 9's prior written consent. Any attempt to do so without our permission shall be void.
Planet 9 may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
